Affiliate Program Terms

These Affiliate Program Terms (“Affiliate Terms”) govern participation in the Prime Systems Academy Affiliate Program (“Program”) offered by Water Rock Media LLC, doing business as Prime Systems Academy (“Prime Systems Academy”, “we”, “us” or “our”). By applying to or participating in the Program, you (“Affiliate”, “you” or “your”) agree to be bound by these Affiliate Terms, along with our Terms and Conditions, Privacy Policy, and any other policies or program materials we make available to you from time to time.

Program overview

The Prime Systems Academy Affiliate Program provides approved affiliates with an opportunity to earn commissions by referring customers to eligible Prime Systems Academy products and services through an assigned referral link or other approved tracking method. This Program is intended to provide a simple and reliable way to promote Prime Systems Academy training products.

This Program is generally best suited for electrical professionals, instructors, content creators, and others with an audience interested in certification preparation, electrical testing, technical training, and workforce development. However, acceptance into the Program is at our sole discretion.

Enrollment and approval

To participate in the Program, you must submit an application and be approved by Prime Systems Academy. We reserve the right to accept or reject any application at our sole discretion, with or without explanation.

You must provide accurate and complete information when applying and while participating in the Program. You are responsible for keeping your contact, payout, and account information current. If any information you provide is inaccurate, incomplete, misleading, or outdated, we may suspend or terminate your participation in the Program.

Commission structure

Unless otherwise stated by us in writing, approved affiliates earn 10% recurring commission on qualifying purchases made through their unique affiliate link or other approved tracking method. As long as the referred customer remains an active, paying customer on an eligible recurring purchase, the affiliate may continue to earn recurring commissions on those qualifying payments.

Commissions are earned only on qualifying purchases that are successfully tracked, completed, paid, and not later refunded, reversed, charged back, disputed, canceled, or determined by us to be invalid or non-qualifying.

We reserve the right to change commission rates, qualifying products, excluded products, recurring commission eligibility, and other compensation terms at any time in our sole discretion.

Holding period and approved commissions

Commissions are subject to a 30-day holding period to allow for refunds, chargebacks, cancellations, fraud review, order verification, and other adjustments. A commission is not considered approved or payable until the applicable holding period has passed and we have determined that the commission qualifies for payment.

We reserve the right to reverse, adjust, withhold, offset, or deny commissions at any time if we determine that a transaction was refunded, charged back, canceled, fraudulent, self-referred, improperly attributed, in violation of these Affiliate Terms, or otherwise non-qualifying.

Payouts

Affiliate payouts are generally processed monthly for approved commissions that have cleared the applicable holding period.

At this time, affiliate payouts are processed manually. Affiliates must submit a payout request in the form required by us when they wish to receive payment. Once a payout request is approved, payments are typically processed within three to five business days, although actual timing may vary.

Payouts are generally issued via PayPal or Stripe, or by another payment method selected or approved by us. You are responsible for providing accurate payout information. We are not responsible for delays, losses, fees, failed transfers, or other issues caused by incorrect payout information or by third-party payment providers.

We reserve the right to establish minimum payout thresholds, request additional verification, delay payouts for review, or withhold payouts where we reasonably believe fraud, abuse, noncompliance, or other irregularities may be involved.

Referral tracking

Referrals are generally tracked using a 30-day cookie window. If a customer clicks your affiliate link and completes a qualifying purchase within that tracking window, the purchase may be credited to you, subject to proper attribution and compliance with these Affiliate Terms.

Referral tracking depends on cookies, browser settings, device settings, attribution systems, and other technical factors, and we do not guarantee that all referral activity will be tracked perfectly in every case. Attribution decisions made by our systems or by us in reviewing affiliate activity shall be final, except where otherwise required by law.

Prime Systems Academy reserves the right to review all referral activity for accuracy, legitimacy, and compliance with these Affiliate Terms. Any activity determined to be fraudulent, abusive, misleading, self-generated, or otherwise improper may result in commission adjustments, delayed payments, withheld payouts, suspension, or removal from the Program.

Promotion rules

This is a basic affiliate program. Approved affiliates generally receive a custom referral link and these Affiliate Terms. Unless we expressly provide otherwise, no banners, pre-written promotional content, or marketing assets are provided.

Affiliates are solely responsible for creating and managing their own promotional content and activities. All promotions must be truthful, lawful, and consistent with Prime Systems Academy’s brand and policies.

You agree that you will:

• promote Prime Systems Academy in a truthful and professional manner;
• comply with all applicable laws, advertising rules, and platform requirements;
• clearly disclose your affiliate relationship where required, including compliance with FTC endorsement and disclosure requirements;
• use only the referral links, methods, and branding permissions authorized by us;
• avoid making false, misleading, unsubstantiated, or deceptive claims about Prime Systems Academy or its products and services.

Prohibited affiliate activities

The following activities are prohibited and may result in commission reversal, withheld payouts, suspension, or removal from the Program:

• Self-referrals. You may not use your own affiliate link to purchase products or services for yourself, your own business, or accounts under your control.
• Branded paid search. You may not bid on or advertise using Prime Systems Academy branded keywords, brand names, domain names, or confusingly similar variations in paid search campaigns unless we expressly authorize it in writing.
• Spam or unsolicited promotion. You may not promote through spam, unsolicited email, misleading direct messages, comment spam, or other abusive promotional tactics.
• Cookie stuffing or forced clicks. You may not use hidden links, automatic redirects, misleading buttons, forced cookies, or any technique designed to generate tracking without a genuine user referral.
• False representation. You may not pretend to be Prime Systems Academy, impersonate our business, or suggest that you are employed by us, officially endorsed by us beyond your affiliate status, or authorized to bind us.
• Misleading claims. You may not make false, deceptive, exaggerated, or unverified claims about our products, pricing, guarantees, results, certifications, or services.
• Unauthorized use of brand assets. You may not use our logos, trademarks, copyrighted materials, or branded content except as expressly permitted by us.
• Fraudulent or abusive traffic. You may not use bots, fake accounts, fake leads, incentivized clicks without disclosure, or any traffic source or method that we determine is fraudulent, low-quality, or abusive.

Activity requirements

To remain active in the Program, affiliates must generate at least one referred sale every six months, unless we state otherwise. If you do not meet this requirement, we may deactivate, suspend, or remove your affiliate account from the Program at our discretion.

Program administration

Prime Systems Academy reserves the right to review affiliate activity, commissions, referral sources, traffic quality, promotional methods, and compliance with these Affiliate Terms at any time.

We reserve the right to modify, suspend, or terminate the Program, or any part of it, at any time, with or without notice. This includes the right to modify commission rates, holding periods, payout schedules, payout methods, referral windows, eligibility criteria, promotional restrictions, and activity requirements.

We may suspend or terminate your participation in the Program immediately if we believe you have violated these Affiliate Terms, our policies, applicable law, or acted in a manner that may harm Prime Systems Academy, its users, or its reputation.

Relationship of parties

You are an independent participant in the Program and not an employee, agent, partner, franchisee, or representative of Prime Systems Academy or Water Rock Media LLC. Nothing in these Affiliate Terms creates any partnership, joint venture, agency, employment, or fiduciary relationship between you and us.

You have no authority to make or accept offers, representations, warranties, or commitments on our behalf.

Limitation of liability

To the fullest extent permitted by applicable law, Prime Systems Academy and Water Rock Media LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or relating to the Program, including but not limited to loss of revenue, loss of commissions, loss of data, loss of business opportunity, or interruption of business, even if advised of the possibility of such damages.

Our total liability arising out of or relating to the Program shall not exceed the total amount of unpaid approved commissions due to you for the specific claim at issue.

Changes and amendments

We reserve the right to modify these Affiliate Terms at any time at our discretion. When we do, we will revise the updated date at the bottom of this page. We may also provide notice in other ways at our discretion, such as by email, through the affiliate portal, or by other communication methods.

An updated version of these Affiliate Terms will be effective immediately upon posting unless otherwise specified. Your continued participation in the Program after the effective date of the revised Affiliate Terms constitutes your acceptance of those changes.
